B2BWALA – Terms & Conditions

These Terms and Conditions govern your access to and use of the B2BWALA platform, including the website, mobile interfaces, WhatsApp communication, and all related services. By accessing, registering, or using B2BWALA in any manner, you agree to be legally bound by these Terms & Conditions. If you do not agree, you must immediately discontinue use of the platform.

B2BWALA operates as a business-to-business (B2B) group-buying facilitation platform. Our role is strictly limited to enabling coordination, deal discovery, group formation, and communication between Buyers and Sellers. B2BWALA does not manufacture, stock, transport, or directly sell any goods listed on the platform.

1. Nature of Services

B2BWALA is a sales facilitation and coordination platform. We connect Buyers into groups and assist them in accessing wholesale deals from Sellers. All transactions, including pricing, payment, delivery, and invoicing, occur directly between the Buyer and the Seller.

B2BWALA does not act as an agent, distributor, broker, or guarantor of products or services. Any dispute regarding quality, quantity, delivery, or pricing is strictly between the Buyer and the Seller.

2. Eligibility to Use the Platform

  • You must be at least 18 years of age to use the B2BWALA platform.
  • You must be legally capable of entering into binding contracts under Indian law.
  • Use of the platform for illegal, fraudulent, or prohibited activities is strictly forbidden.

B2BWALA reserves the right to suspend or terminate access if any user is found to be in violation of eligibility requirements.

3. User Accounts and Accuracy of Information

To access certain features, you may be required to create an account by providing accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials.

  • All information provided must be truthful and up to date.
  • You are responsible for all activities conducted through your account.
  • Any unauthorized use must be reported immediately.

4. Platform Fee and Pricing

B2BWALA charges a platform facilitation fee of 10% on the Buyer’s purchase value. This fee is applicable only to Buyers and is charged for services such as group coordination, deal facilitation, vendor verification, and support.

  • Product prices are determined solely by Sellers.
  • B2BWALA does not negotiate prices on behalf of Buyers.
  • Transportation, packaging, and unloading costs are not included in the platform fee.

5. Orders and Payments

Orders are processed only after group confirmation. All payments must be made directly to the Seller as per agreed terms. B2BWALA does not handle, store, or process Buyer payments.

Any delays, errors, or disputes related to payment are the responsibility of the Buyer and Seller. B2BWALA shall not be liable for payment failures.

6. Delivery, Risk, and Inspection

Delivery timelines, shipping methods, and logistics arrangements are mutually decided between the Buyer and Seller. Risk associated with goods transfers according to Seller terms.

  • Buyers must inspect goods at the time of delivery.
  • Any damage must be noted on the Proof of Delivery document.
  • Failure to inspect may void replacement eligibility.

7. Returns, Refunds, and Replacements

B2BWALA follows a strict no-refund policy. Refunds are not provided under any circumstances.

  • Transport damage is eligible only for replacement, not refund.
  • Evidence such as photos, videos, and POD notes are mandatory.
  • Unsold stock is not refundable.

8. Resale Option

Buyers may use the resale option to list unsold inventory for other Buyers. Resale availability and terms may change based on platform policies.

9. Prohibited Activities

  • Sale or purchase of counterfeit, illegal, or banned goods.
  • Fraudulent activities or misrepresentation.
  • Data scraping, hacking, or misuse of platform systems.

10. Intellectual Property

All platform content including branding, text, layout, graphics, and software are the intellectual property of B2BWALA or its licensors. Unauthorized use is strictly prohibited.

11. Limitation of Liability

B2BWALA shall not be liable for indirect, incidental, or consequential damages, including loss of profits, business interruption, delivery delays, or third-party failures.

12. Indemnity

You agree to indemnify and hold harmless B2BWALA from any claims, damages, losses, or expenses arising from your use of the platform or violation of these Terms.

13. Modifications to Terms

B2BWALA reserves the right to modify these Terms & Conditions at any time. Updated terms will be effective immediately upon publication. Continued use of the platform implies acceptance.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Hyderabad, Telangana.
